1. INTRODUCTION
gdtrp B.V. (“we”, “our”, or “us”) provides a SaaS (Software as a Service) platform for laser cutting automation, known as Cutl.online, which enables users to upload DXF/IGES files, analyze geometry, optimize nesting, calculate costs, generate quotes, and share files with other users.
By using this platform, you (“User”, “Customer”, or “you”) agree to these Terms and Conditions and our Privacy Statement. If you do not agree, you must stop using the service.

2. DEFINITIONS
- Platform / Service — the gdtrp SaaS system accessible via https://cutl.online and related APIs or apps.
- User / Customer — an individual or entity using the platform.
- Subscription — a paid or free plan providing time-limited access to gdtrp features.
- Content / Files — all files, data, and materials uploaded by the user.
- Agreement — these Terms and Conditions together with the Privacy Statement and any Data Processing Addendum (“DPA”).

3. AVAILABILITY AND ELIGIBILITY
By subscribing or using the Service, you confirm that you:
- Are at least 18 years old (or have valid legal capacity).
- Have authority to enter into this agreement.
- Will use the Service only in accordance with these Terms and applicable laws.
The Service is intended solely for business use (B2B). By subscribing, you represent and warrant that you are acting for business purposes and not as a consumer.

4. DESCRIPTION OF SERVICE
Cutl.online provides tools for:
- Geometry analysis and cost estimation.
- True-shape nesting optimization.
- Quote generation and file sharing.
- 3D visualization and batch processing.
- AI-assisted setup and ERP/API integration.

Service name: Cutl.online — Smart Manufacturing Cost Estimation Software
Subscription price: Free for the first 3 months, then USD 30/month.
Add-ons: Not applicable unless otherwise agreed.
Performance may vary depending on your hardware, internet connection, or input data. gdtrp B.V. aims for high uptime but does not guarantee uninterrupted service. We use industry-standard transport encryption (TLS) and security controls. We do not represent or warrant any particular certification status unless explicitly stated on our website.

5. MAINTENANCE, SUPPORT, AND BETA FEATURES
We may temporarily suspend access for maintenance, upgrades, or emergencies. Reasonable notice will be given for scheduled downtime. gdtrp B.V. shall not be liable for temporary unavailability caused by maintenance, external network failures, or force majeure.

Support: We provide email support at info@cutl.online on Business Days (Mon–Fri, 09:00–18:00 CET). We aim to respond to priority issues within 1 Business Day.

Beta Features: Preview or beta features are provided “as is,” may change or be discontinued, and are excluded from any uptime or support commitments.

6. SUBSCRIPTION AND PAYMENT

6.1. Subscription Procedure
1. Choose a plan and proceed through the checkout.
2. Provide accurate personal and billing details.
3. Review the final summary before confirming payment.
4. Receive confirmation and access credentials via email.

6.2. Payment Methods
Payments are processed securely via Stripe, accepting Visa, Mastercard, AMEX, and other supported methods. All prices are displayed in USD, exclusive of VAT. VAT will be added where applicable based on the customer’s billing country and VAT status. Reverse charge may apply for EU VAT-registered businesses. Currency conversion fees may apply for non-USD payments.

6.3. Invoicing
Invoices are issued electronically. Paper invoices can be requested by email.

6.4. Renewals and Cancellation
Subscriptions renew automatically at the end of each billing cycle unless cancelled beforehand. Prices may change with 30 days’ notice via email or in-app message. Existing subscriptions remain at the old rate until renewal. You may cancel any time via your dashboard or by contacting info@cutl.online. Cancellations take effect at the end of the current billing period.

6.5. Refund Policy and Free Trial
The free trial period is subject to these Terms. Unless you cancel before the end of the trial, your subscription converts to a paid plan automatically and the applicable fees will be charged. We will send a reminder before conversion.
Refunds are only issued:
- If required by law, or
- If gdtrp B.V. fails to deliver the purchased service.
No partial refunds for early cancellations. Accidental renewals can be reviewed if reported within 7 days.

7. RIGHT TO REFUSE OR CANCEL SUBSCRIPTIONS
gdtrp B.V. may refuse or cancel a subscription if:
- A pricing or typographical error occurred.
- The transaction appears fraudulent.
- The user is underage or lacks authority.
- Incorrect or incomplete data prevents processing.
If a payment was made, gdtrp B.V. will fully refund it.

8. USER RESPONSIBILITIES AND ACCEPTABLE USE
You agree:
- Not to upload malicious or illegal files.
- Not to use the Service for unlawful, infringing, or abusive activities.
- To keep login credentials confidential.
- To ensure uploaded files (e.g., DXF/IGES) do not contain third-party data without authorization.
You are responsible for all actions under your account. You indemnify gdtrp B.V. against any claims arising from your uploaded Content (e.g., IP infringement or data breaches).

Acceptable Use and Fair Use: You will not interfere with Service operation, attempt unauthorized access, circumvent technical limits, or perform load tests without written consent. We may apply fair-use limits (e.g., API rate limits, storage/processing quotas) and may throttle or suspend accounts that materially exceed reasonable use.

Export Controls: You represent that you are not subject to sanctions or located in an embargoed or restricted jurisdiction and will not use the Service in violation of export control or sanctions laws.

9. INTELLECTUAL PROPERTY, OUTPUTS, AND FEEDBACK
All software, algorithms, and content of gdtrp B.V. are protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the platform for your internal business purposes. You may not copy, reverse-engineer, or redistribute the Service. Users retain ownership of uploaded files and grant gdtrp B.V. a license to store and process them solely for providing the Service.

Outputs and Feedback: As between the parties, you own Outputs generated from your Content. You grant gdtrp B.V. a royalty-free, perpetual license to use suggestions or feedback you provide to improve the Service.

gdtrp IP Indemnity: gdtrp B.V. will defend and indemnify you against third-party claims alleging that your authorized use of the Service infringes their intellectual property rights, subject to a total liability cap not exceeding the fees paid by you during the 12 months preceding the claim.

10. DATA PROCESSING
For account, billing, support, and website analytics data, gdtrp B.V. acts as data controller. For personal data contained in Content you upload, gdtrp B.V. acts as data processor and will process such data per the Data Processing Addendum (/dpa), which is incorporated by reference.
The Data Processing Addendum and sub-processor list (/subprocessors) form an integral part of this Agreement and may be updated with prior notice via email or in-app message. In the event of a personal data breach impacting your Personal Data, we will notify you without undue delay and provide legally required information.

11. TERMINATION
You may terminate your account at any time. gdtrp B.V. may suspend or terminate access for:
- Breach of these Terms,
- Legal requirement, or
- Non-payment.
Termination does not release you from prior payment obligations.

12. LIABILITY AND WARRANTIES
The Service is provided “as is” and “as available.” To the maximum extent permitted by law:
- gdtrp B.V. disclaims all implied warranties of merchantability, fitness, and non-infringement.
- gdtrp B.V. is not liable for indirect, incidental, or consequential damages (including data loss or profit loss).
- gdtrp B.V.’s total liability is limited to the amount paid in the last 12 months before the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for willful misconduct or gross negligence.

13. FORCE MAJEURE
gdtrp B.V. shall not be liable for delays or failures caused by events beyond its reasonable control, including but not limited to natural disasters, war, terrorism, internet outages, government restrictions, or labor disputes.

14. AMENDMENTS
We may update these Terms or our Privacy Statement to reflect legal, technical, or operational changes. Material changes will be communicated at least 14 days before taking effect. Continued use of the Service after updates constitutes acceptance.

15. GOVERNING LAW, DISPUTES, AND MISCELLANEOUS
These Terms are governed by Dutch law, excluding conflict-of-law principles. Any unresolved disputes shall be resolved exclusively by the competent courts of Zaanstad, Netherlands. These Terms apply only to business users and not to consumers.

You may not assign this Agreement without our prior written consent; gdtrp B.V. may assign to an affiliate or in connection with a merger, acquisition, or asset sale. If any provision is unenforceable, the remainder remains in effect. A failure to enforce is not a waiver. This Agreement (including the DPA and documents referenced by link) is the entire agreement between the parties regarding the Service.

The Service is not intended for children under 16; we do not knowingly collect their data.

1. PERSONAL DATA WE COLLECT
We may collect the following categories of data:
- Identification and contact information (name, email, company, phone).
- Account and billing data.
- Payment information (processed securely via Stripe).
- Uploaded files (DXF/IGES) and related metadata.
- Platform interaction, logs, and analytics data.
- Communication preferences and consent status.

2. PURPOSES AND LEGAL BASES

3. RETENTION
We keep data for as long as necessary to provide the service and comply with legal obligations. Inactive accounts are deleted or anonymized 12 months after termination unless retention is legally required.

4. DATA SHARING
We may share personal data with:
- Payment processors (e.g., Stripe)
- Infrastructure providers (e.g., AWS, Cloudflare)
- Professional advisors or authorities where legally required
All third parties operate under data-processing agreements consistent with GDPR Article 28.
Sub-processing of data outside the EEA is performed only under GDPR-compliant transfer mechanisms, including Standard Contractual Clauses (SCCs).

5. INTERNATIONAL DATA TRANSFERS
Where data is transferred outside the EEA, gdtrp B.V. ensures compliance through:
- Standard Contractual Clauses (SCCs) approved by the European Commission, or
- Equivalent safeguards ensuring adequate protection.

6. COOKIES AND ANALYTICS
The platform uses:
- Essential cookies (for login and security).
- Optional analytics cookies (e.g., Google Analytics) to improve performance.
Analytics cookies are only activated after you provide consent through the cookie banner.

7. YOUR RIGHTS
You have the right to:
- Access your data (Art. 15 GDPR)
- Rectify incorrect data (Art. 16)
- Request erasure (Art. 17)
- Restrict processing (Art. 18)
- Data portability (Art. 20)
- Object to processing (Art. 21)
Requests may be sent to privacy@cutl.online. You may also file a complaint with the Dutch Data Protection Authority (Autoriteit Persoonsgegevens).

8. SECURITY
We apply technical and organizational measures to protect data, including encryption, access control, and monitoring. Payment details are handled exclusively by PCI DSS-compliant processors.

9. UPDATES TO THIS STATEMENT
We may revise this Privacy Statement periodically. Changes will be posted with an updated effective date. Material updates will be communicated to registered users.
